EEII examines acquisition of stakes from Haute Capital Partners

Haute Capital Partners and EEII have signed a joint, non-binding letter of intent regarding a possible transaction. The plan is for Haute Capital Partners to transfer all or part of its stakes to EEII in return for new shares in EEII. A cash capital increase could also be part of the transaction, Haute Capital wrote in a statement on Thursday.

The planned transaction is generally to be carried out as an asset deal or implemented in an economically equivalent form. Haute Capital Partners intends to distribute all or part of the EEII shares it receives to its own shareholders.

The definitive structure of the transaction still has to be agreed between the two companies. Approval from the relevant bodies is also required. This includes prior approval by Haute Capital Partners' general meeting, both for the transaction and for the planned distribution of the EEII shares.

Talks at an early stage

According to the companies, negotiations are still at an early stage. The scope, valuations and terms are still open. No definitive agreement has yet been concluded.

It remains uncertain whether a transaction will actually take place. Haute Capital Partners and EEII said they will inform the market of any material developments.

Haute Capital Partners is listed on BX Swiss under the ticker HAUTE, and EEII on SIX Swiss Exchange under the ticker EEII.
